CoTra Law assisted Tigro Industries NV with its acquisition of Solbex BV.

Solbex BV is specialised in temperature and humidity controlled transport of chemical, pharmaceutical, food and other related products.

With this transaction, Tigro Industries NV significantly expands its service package in Belgium.

CoTra Law assisted the four founding shareholders in the buyout transaction of ARCH Group with Select Group, six promising ARCH employees and some individual investors stepping into the share capital of ARCH Group. 

ARCH Group, based in Zaventem, is active in consulting and project sourcing.  It specialises in change management and assists its clients with issues related to complex transformations in the light of technological or organisational changes and strategy implementation.  The company is led by four senior associates:  Bert Kuypers, Jan Van Laer, Bert Van Daele and Frans Beckers.

To accelerate the company’s development, ARCH Group was looking for a strategic partner with the same vision. A partner that could strengthen them in four areas: people, markets, service offering and organisation.  ARCH Group found a partner in Select Group that could support it in the proposed growth in the areas of employer branding, visibility and brand recognition.  Via a buy-out construction, Select Group joins as a minority shareholder.  Six promising employees of the next generation will also be involved in the capital, in addition to some individual investors. The transaction thus partly aims to further ensure the transition to the next generation.

ARCH Group’s ambition under this strengthened capital structure is to continue its projected growth, both organically and through buy & build.

CoTra Law assisted Groep VAB NV with the sale of its shareholding in Macadam VAB Inspection NV (MVI) to Macadam Europe NV.    

Macadam Europe is the market leader in the area of inspection of end-of-contract vehicles.  For the past five years, Macadam Europe and Group VAB have worked together in Belgium and Luxembourg under the name Macadam VAB Inspection (MVI).  Through this takeover, MVI will now continue under the umbrella of Macadam Belgium NV.

CoTra’s transaction team assisted Groep VAB as seller during the entire transaction both in drafting the transaction documents (a.o. letter of intent, purchase agreement, representations and warranties, …), and in conducting the negotiations and the successful closing of this transaction.

CoTra Law assisted the German Toi Toi & Dixi International Group with its strategic acquisition of Hobo NV and Liekens NV.

Hobo and Liekens are specialised in the rental of portable toilets, showers and sanitary containers, as well as industrial cleaning and well emptying.
