CoTra Law assisted Groep VAB with the entering into a joint venture with the Dutch Koopman Logistics Group for setting up, developing and commercializing a newly integrated site in Genk.

Since 2004, Groep VAB is through VAB Fleet Services NV active in providing tailormade services regarding fleet management: transport, optical inspection, control, maintenance, etc. of (motor)vehicles and bikes.

Groep VAB and the Dutch Koopman Logistics Group will jointly through VAB Fleet Services NV set up, develop and commercialize additional activities on a new joint site in Genk focused on repair and refurbishment services of (motor)vehicles.

CoTra’s transaction team assisted Groep VAB during the entire transaction, with drafting the transaction documents (a.o. letter of intent, share purchase agreement, representations and warranties, joint venture agreement, …), conducting the negotiations and the successful closing of this joint venture.

CoTra assisted the shareholder of Qaly@Beersel BV with the sale of all shares to Orelia Zorg NV.

Qaly@Beersel BV is the independent exploiter of Residentie Woonzorgcentrum Qaly (WZC) and the associated assistance residences in Alsemberg. 

Orelia is a family company with more than 40 years’ experience.  Since 1979 the family Van den Brande is active in elderly care and building and exploiting residential care centers.  Oralia Zorg manages 12 residential care centers and groups of assistance residences.
